Overview

The National Board for Leadership Certification is governed by five primary bodies: The National Board, the Advisory Group, the Certification Council, and the Education Council.  Each body is composed of tried, true, and tested leaders across multiple industries who have been charged with ensuring the standard for leadership and leadership education is upheld.

The National Board

The National Board is governed by a five member board of directors, the majority of whom are National Board-Certified Leaders and industry professionals.

The National Board’s President also serves on the Board of Directors. The National Board also honors the leadership of our former Board members.

The Advisory Group

The Technical Advisory Group was established by the National Board to support assessment, psychometric, and certification efforts by providing guidance to the Certification Council and staff on the best practices related to validity, reliability, accuracy, and fairness.

The Certification Council

The Certification Council was established by the NBLC board of Directors to guide implementation and evaluation of the National Board’s Certification programs. The Council evaluates, prepares and proposes policies to the Board of directors regarding the certification program, focusing on standards and assessment development and revision.

Appointments to the Certification Council are subject to approval by the Board of Directors. Approved mentors, and employed members of partnered organizations may not serve on the Certification Council. Members of the Certification Council may not be currently serving in any other branch of governance within the NBLC.

The Education Council

The Education Council was established by the NBLC Board of Directors to oversee the development, implementation, and continuous improvement of certification preparation programs and related educational initiatives. The Council is responsible for evaluating program effectiveness, proposing policy recommendations to the Board, and ensuring alignment with industry standards and best practices.

The Education Council focuses on curriculum development, instructional methodologies, and assessment strategies to enhance certification readiness. It plays a key role in maintaining the integrity and rigor of certification preparation programs by guiding revisions, establishing benchmarks, and ensuring accessibility for diverse learner populations.

Appointments to the Education Council are subject to approval by the Board of Directors. Members of the Education Council may not simultaneously serve in any other governance capacity within the NBLC.

Review Committees and Meetings

The NBLC shall establish monthly and quarterly review committees to assess the progress and effectiveness of the NBLC's programs and initiatives. The committees shall be composed of members from the National Board, Advisory Group, and Certification Council, as well as other experts as needed. Meetings shall be held as needed to review and discuss the findings and recommendations of the committees.

National Board:
The National Board shall meet at least four times a year, with additional meetings held as needed. The meetings shall be scheduled by the Board Chair and conducted in person or virtually. The primary purposes of National Board meetings are to set the strategic direction of the NBLC, oversee the organization's activities, and ensure that the Board's responsibilities are being met. During these meetings, the Board may also discuss matters related to budget and finances, marketing and communications, and governance policies.

Advisory Group:
The Advisory Group shall meet at least twice a year, with additional meetings held as needed. The meetings shall be scheduled by the Technical Advisory Group Chair and conducted in person or virtually. The primary purpose of Advisory Group meetings is to provide guidance and expertise to the Certification Council and staff on the best practices related to assessment, psychometric, and certification efforts. The Advisory Group may also review and provide feedback on the development of new certification programs or the revision of existing ones.

Certification Council:
The Certification Council shall meet at least four times a year, with additional meetings held as needed. The meetings shall be scheduled by the Certification Council Chair and conducted in person or virtually. The primary purpose of Certification Council meetings is to guide the implementation and evaluation of the NBLC's certification program. During these meetings, the Council may evaluate assessment and certification policies, review standards, and propose revisions as needed.

Monthly Review Committee:
The Monthly Review Committee shall meet once a month to assess the progress of the NBLC's programs and initiatives. The committee shall be composed of members from the National Board, Advisory Group, and Certification Council, as well as other experts as needed. The meetings shall be scheduled by the committee chair and conducted virtually. The primary purpose of Monthly Review Committee meetings is to assess the progress of the NBLC's programs and initiatives on a regular basis. The committee may review reports from the NBLC staff, discuss upcoming events or initiatives, and provide feedback to the National Board or Certification Council as needed.

Quarterly Review Committee:
The Quarterly Review Committee shall meet once every quarter to assess the progress of the NBLC's programs and initiatives. The committee shall be composed of members from the National Board, Advisory Group, and Certification Council, as well as other experts as needed. The meetings shall be scheduled by the committee chair and conducted in person or virtually. The primary purpose of Quarterly Review Committee meetings is to assess the progress of the NBLC's programs and initiatives on a more in-depth basis than the Monthly Review Committee. The committee may review budget and financial reports, assess the effectiveness of marketing and communications efforts, and provide feedback to the National Board or Certification Council as needed.

Charter for the National Board

The organization is officially recognized as the "National Board" of the National Board for Leadership Certification, referred to as the "Board." The Board's name signifies its central role in governing and directing the activities of the NBLC.

Section 2: Purpose

The primary purpose of the National Board is to provide leadership and governance for the NBLC. This encompasses several key responsibilities, including setting the strategic direction, overseeing organizational activities, and ensuring the fulfillment of the Board's obligations. Additionally, the Board actively engages with matters related to budget and finances, marketing and communications, and governance policies to guide the NBLC effectively.

Article II: Governance and Membership

Section 1: Composition

The National Board is composed of nine members who collectively shape its governance and decision-making processes. The majority of Board members are individuals with National Board-Certified Leader (NBCL) status, demonstrating their commitment to leadership excellence. Additionally, industry professionals contribute their expertise to the Board's collective knowledge. 

Section 2: Honoring Former Board Members

The National Board recognizes and pays tribute to the dedicated service and contributions of former Board members who have played pivotal roles in advancing the NBLC's mission and vision. Their legacy is acknowledged as part of the Board's commitment to honoring its history and heritage.  

Article III: Meetings

Section 1: Frequency

The National Board convenes at least four times a year to ensure regular oversight and strategic planning. These meetings are scheduled in advance to maintain a consistent and effective governance schedule. Additional meetings may be called when significant matters arise that require the Board's attention. 

Section 2: Scheduling

Meetings of the National Board is organized and scheduled by the Board Chair, in collaboration with members and staff. This scheduling flexibility allows the Board to choose between in-person or virtual meetings, accommodating the preferences and logistical constraints of Board members while promoting efficient collaboration. 

Article IV: Agenda

The agenda for National Board meetings encompasses the following key elements: 

  • Call to Order and Roll Call: The meeting begins by confirming the presence of a quorum, essential for conducting official business.
  • Approval of the Agenda: Board members formally approve the agenda, setting the meeting's focus and sequence.
  • Approval of Minutes: Minutes from the previous meeting are reviewed and approved, maintaining a historical record of Board proceedings.
  • Reports from Officers and Committees: Officers and committees provide updates on organizational activities and initiatives, ensuring transparency and informed decision-making.
  • Old Business: Ongoing matters from previous meetings are discussed and resolved as necessary.
  • New Business: Emerging matters, initiatives, or challenges are considered, enabling the Board to adapt and respond effectively.
  • Public Comment (if time allows): A designated time for stakeholders to provide input, express concerns, or offer insights, fostering engagement and inclusivity.

Article V: Decision-Making

Section 1: Consensus

The National Board endeavors to make decisions through consensus, emphasizing collaboration and inclusivity. This approach ensures that diverse perspectives are considered, and decisions are made collectively, fostering unity and ownership. 

Section 2: Majority Vote

In cases where consensus cannot be achieved, decisions may be reached by a majority vote of members in attendance. This voting mechanism ensures that decisions are made efficiently, respecting the views of the majority of Board members. 

Article VI: Amendments

Section 1: Amendments to Charter and Bylaws

Amendments to this charter and the accompanying bylaws of the National Board may be proposed by any Board member. To be approved, proposed amendments must receive a two-thirds majority vote of Board members. The amendment process is designed to maintain the adaptability of the Board's governance structure to evolving circumstances and needs.

Charter for the Technical Advisory Group (TAG)

Article I: Name and Purpose

Section 1: Name

The name of this organization shall be the "Technical Advisory Group (TAG)" of the National Board for Leadership Certification, hereinafter referred to as "TAG." This name reflects the group's specific function and its association with the National Board for Leadership Certification. 

Section 2: Purpose

The primary purpose of TAG is to provide essential guidance and expertise to support the assessment, psychometric, and certification efforts of the National Board for Leadership Certification. TAG members are entrusted with ensuring that these efforts are grounded in best practices related to validity, reliability, accuracy, and fairness. By upholding these principles, TAG plays a pivotal role in maintaining the credibility and rigor of the certification programs offered by the National Board. Additionally, TAG has a responsibility to review and offer valuable feedback on any new certification programs under development or revisions to existing programs, contributing to the ongoing enhancement of leadership certification standards. 

Article II: Meetings

Section 1: Frequency

TAG shall convene on a regular basis to fulfill its responsibilities effectively. It is required to meet at least twice a year, although additional meetings may be called as necessary. This flexible schedule ensures that TAG remains responsive to the evolving needs and challenges within the field of leadership certification. 

Section 2: Scheduling

The scheduling of TAG meetings is a collaborative effort between the Technical Advisory Group Chair and the Certification Council and staff. Meetings can be conducted in person or virtually, reflecting the preferences and logistical considerations of TAG members. The choice between physical and virtual meetings allows for adaptability to changing circumstances, technological advances, and the convenience of members.

Article III: Membership

Section 1: Composition

TAG's strength lies in its membership, comprising individuals with specialized expertise in assessment, psychometrics, and leadership certification. These members typically include professionals with backgrounds in education, psychology, measurement, and related fields. Their collective knowledge and experience are essential for fulfilling TAG's mission. 

Section 2: Appointment

Members of TAG are appointed by the Certification Council, which selects individuals based on their qualifications and demonstrated expertise in the relevant areas. In some cases, external experts may be consulted to identify suitable candidates who can provide valuable insights and guidance. 

Article IV: Leadership

Section 1: Chair

TAG elects a Chair who assumes the responsibility of leading TAG. The Chair presides over meetings, ensuring that discussions are conducted effectively and that the group stays on track to fulfill its objectives. The Chair also serves as the primary point of contact between TAG and the Certification Council and staff, facilitating communication and collaboration.

Section 2: Vice Chair

TAG may also appoint a Vice Chair, who works closely with the Chair and is prepared to step in and preside over meetings in the absence of the Chair. The Vice Chair assists in managing TAG's affairs and helps ensure its smooth operation. 

Article V: Meetings and Agenda

Section 1: Agenda

TAG meetings follow a structured agenda to ensure that the group addresses all relevant topics. The agenda includes standard items such as the call to order, roll call, approval of the agenda and previous meeting minutes, reports from officers and committees, discussion of old and new business, and a focus on best practices related to assessment, psychometrics, and certification efforts. Finally, the meeting concludes with an adjournment. 

Section 2: Quorum

For TAG meetings to be conducted, a quorum is required. A quorum consists of a majority of TAG members in attendance, whether they participate in person or virtually. This ensures that decisions and discussions have the input of a representative group of experts.

Article VI: Decision-Making

Section 1: Consensus

TAG aims to make decisions through consensus whenever possible. This approach encourages collaboration and ensures that the diverse expertise of TAG members is taken into account when reaching conclusions. In cases where consensus is not attainable, decisions may be made by a majority vote of members in attendance, allowing for efficient resolution of issues. 

Article VII: Amendments

Section 1: Amendments

This article outlines the process for amending the TAG charter. Any TAG member has the right to propose amendments. For an amendment to be adopted, it must receive the approval of a two-thirds majority vote of the TAG members. This requirement ensures that changes to the charter are made with careful consideration and a broad level of support.

Article VIII: Dissolution

Section 1: Dissolution

In the unlikely event that TAG is dissolved, this article specifies that its assets and responsibilities shall be transferred to the National Board for Leadership Certification. This provision ensures a clear and orderly transition in case TAG's existence is no longer viable. 

The TAG charter, with its comprehensive articles, provides a clear framework for the organization's purpose, operation, and decision-making processes. It serves as a foundational document to guide TAG's activities in fulfilling its crucial role within the National Board for Leadership Certification.

Charter for the Certification Council

Article I: Name and Purpose

Section 1: Name

The Certification Council is hereby established as an integral body of the National Board for Leadership Certification, referred to as the "Council." The name underscores its role in overseeing and guiding the certification program.  

Section 2: Purpose

The primary purpose of the Certification Council is to provide strategic direction and oversight for the National Board's Certification program. This includes evaluating, preparing, and proposing policies to the Board of Directors concerning the certification program. The Council's primary focus shall be on standards development and assessment, ensuring that the program maintains high standards of quality, validity, reliability, accuracy, and fairness. 

Article II: Membership

Section 1: Composition

The Certification Council shall comprise individuals with substantial qualifications and experience in the fields relevant to leadership certification. This includes experts in education, psychology, measurement, leadership, and other related disciplines. At least one-third of the Council's seats shall be reserved for individuals holding National Board-Certified Leader (NBCL) status, reflecting the importance of practitioner perspectives in the certification process. 

Section 2: Appointments

Membership on the Certification Council is subject to approval by the Board of Directors of the National Board for Leadership Certification. The appointment process ensures that members are selected based on their qualifications, expertise, and commitment to the mission of the Council. Approved mentors and employed members of partnered organizations are ineligible to serve on the Certification Council to prevent conflicts of interest. Additionally, Council members may not concurrently hold positions within any other branch of governance within the NBLC to preserve the integrity of their role. 

Article III: Meetings

Section 1: Frequency

The Certification Council shall convene regularly to fulfill its responsibilities effectively. A minimum of four meetings shall be held each year, with additional meetings scheduled as needed to address pressing issues or developments within the certification program. This frequency ensures ongoing oversight and responsiveness to emerging challenges.

Section 2: Scheduling

The Certification Council meetings shall be scheduled by the Certification Council Chair in consultation with members and staff. Flexibility in conducting meetings either in person or virtually accommodates the preferences and logistical constraints of Council members, allowing for efficient collaboration and decision-making.

This voting method ensures efficient resolution of issues while respecting the diversity of perspectives within the Council.

The Certification Council may establish committees as needed to address specific tasks or issues. Committee members shall be appointed by the Certification Council Chair, and each committee shall operate under the guidance of the Council. Committee responsibilities and procedures shall be outlined in committee charters. 

Article VI: Amendments

Section 1: Amendments to Charter and Bylaws

Amendments to this charter and the accompanying bylaws may be proposed by any Certification Council member and shall be subject to approval by a two-thirds majority vote of the Council members. Proposed amendments must be distributed to members at least thirty (30) days prior to the vote. Amendments are vital for adapting to evolving circumstances and improving the governance structure of the Council.

Charter for the Review Committee

Article I: Name and Purpose

Section 1: Name

The Monthly & Quarterly Review Committees (hereinafter referred to as the "Review Committees") are integral bodies of the National Board for Leadership Certification. These committees are responsible for conducting regular assessments of the NBLC's programs and initiatives. 

Section 2: Purpose

The primary purpose of the Review Committees is to provide systematic and structured evaluations of the NBLC's programs and initiatives. While the Monthly Review Committee focuses on monthly assessments, the Quarterly Review Committee conducts more comprehensive quarterly evaluations. Both committees aim to ensure that the NBLC's activities are aligned with its strategic goals and are progressing effectively. 

Article II: Membership

Section 1: Composition

The Review Committees are composed of members who bring diverse expertise and perspectives to the evaluation process. Members include representatives from the National Board, Advisory Group, and Certification Council, along with additional experts as deemed necessary. This diverse composition ensures a well-rounded assessment and a holistic view of the NBLC's activities. 

Article III: Meetings

Section 1: Frequency

The Monthly Review Committee shall convene once a month, while the Quarterly Review Committee shall meet once every quarter. These regular meetings allow for timely progress assessment and comprehensive evaluation. 

Section 2: Scheduling

Meetings of both the Monthly & Quarterly Review Committees shall be scheduled by the committee chairs in consultation with committee members and NBLC staff. Flexibility is provided to conduct meetings either virtually or in person, based on the committee's preferences and logistical considerations. 

Article IV: Agenda

The agenda for Monthly & Quarterly Review Committee meetings shall encompass the following items: 

Call to Order and Roll Call: This ensures that a quorum is present for the meeting to proceed effectively.

Approval of the Agenda: Committee members approve the meeting's agenda to establish the focus and order of discussion.

Approval of Minutes: The minutes from the previous meeting are reviewed and approved to maintain a record of committee proceedings.

Progress Reports: Reports on the progress of the NBLC's programs and initiatives are presented and discussed to provide transparency and accountability.

Upcoming Events and Initiatives: Committee members discuss upcoming events or initiatives to ensure they align with the NBLC's strategic goals.

Specific Assessments: The Quarterly Review Committee conducts an in-depth assessment of areas such as budget and financial reports, while the Monthly Review Committee assesses marketing and communications efforts.

Feedback: Committee members provide feedback to the National Board or Certification Council as needed to inform decision-making and enhance the effectiveness of NBLC's activities.

Adjournment: The meeting is adjourned efficiently, ensuring that all items on the agenda are addressed.

Charter for the Ethics & Discipline Committee

Article I: Establishment and Purpose

Section 1: Establishment 

The Ethics and Discipline Committee is formally established as an integral part of the National Board for Leadership Certification (NBLC). Its creation is essential to maintaining the highest standards of ethical conduct and professional practice within the certification program.

Section 2: Purpose

The primary purpose of the Ethics and Discipline Committee is to uphold the integrity of the certification program by ensuring that issues related to certificants' practice and conduct are handled fairly and reasonably. This committee is the safeguard against unprofessional and unethical behavior by individuals who hold NBLC certifications. It achieves this purpose by diligently enforcing the code of ethics of the certification program through established policies and procedures.

Article II: Responsibilities

Section 1: Receive and Review Complaints

One of the fundamental responsibilities of the Ethics and Discipline Committee is to receive and thoroughly review complaints of ethical violations. This duty reflects the committee's commitment to providing a channel for stakeholders and the public to report ethical concerns with confidence. 

Section 2: Conduct Investigations

To maintain transparency and fairness, the committee conducts investigations following rigorous and
established procedures. These investigations are comprehensive, ensuring that all relevant information is gathered and assessed to reach an informed decision. 

Section 3: Make Recommendations for Action

The committee's role extends to making recommendations for appropriate actions in response to ethical violations. These recommendations can include sanctions against individuals found in violation of the code of ethics or, when justified, the dismissal of complaints. All recommendations are subject to approval by the certification body, assuring that the process remains accountable. 

Section 4: Recommend Revisions to the Code of Ethics

Recognizing the evolving nature of industries and professions, the committee actively participates in evaluating the code of ethics. It may recommend revisions to the code to reflect contemporary ethical considerations and align with industry standards. 

Section 5: Recommend Changes in Policies or Procedures

To ensure the ethical and effective functioning of the certification program, the committee recommends changes in policies or procedures as needed. This adaptability is crucial for responding to emerging ethical challenges and improving the governance of the certification process.  

Section 6: Complete All Duties as Assigned

The Ethics and Discipline Committee members commit to carrying out all duties assigned to them diligently. Their dedication is vital to the effective operation of the committee and the credibility of the certification program.

These criteria may include qualifications, experience, and areas of expertise to ensure that the committee comprises individuals with the necessary knowledge and skills to fulfill their roles effectively.

Section 3: Confidentiality

The committee strictly adheres to confidentiality requirements to protect sensitive information related to investigations and other ethical matters. These requirements encompass the handling of physical and electronic evidence and other confidential information, ensuring compliance with privacy regulations. 

Section 4: Conflict of Interest

Members of the committee are required to disclose and manage any conflicts of interest that may arise in the context of ethics and discipline matters. Policies are in place to address conflicts transparently and ethically, preserving the committee's objectivity.

Qualifications

Members possess a profound understanding of the code of ethics and its practical application in real-world scenarios. This knowledge equips them to evaluate ethical violations comprehensively and recommend appropriate actions based on the code's principles.  

Section 3: Training and
Orientation

Committee members commit to attending and successfully completing training programs and orientation sessions. These programs enhance their investigative skills and ensure that investigations are conducted thoroughly and consistently. 

Section 4: Good Standing

To serve on the committee, members must maintain good standing with any certifications or licenses they hold. This requirement underscores their commitment to upholding ethical standards in their professional practice.

Ethics and Discipline Committee Bylaws

The Ethics and Discipline Committee shall convene regular meetings as needed to fulfill its responsibilities effectively. The frequency of these meetings may vary based on the volume of ethical matters to be addressed.  

Section 2: Quorum

Meetings require a quorum to conduct official business. A quorum is established when a majority of committee members is present, ensuring that decisions are made collectively.

The committee outlines specific meeting procedures, including the creation and distribution of agendas, record keeping practices, and the preparation of meeting minutes. These procedures maintain consistency and transparency in the conduct of meetings.

Certification Council Members must possess a remarkable and substantial background in education, leadership, assessment, or related fields. A minimum of fifteen years of leadership experience or significant contributions to the field is expected.

Review Committee Requirements

Review Committee Members should possess notable expertise in program evaluation, assessment, or leadership development. A minimum of ten years of relevant experience with a track record of substantial contributions is expected.

Other Committees Requirements

Examiner Committee. Candidates aspiring to join the Exam Examiner Committee must possess a minimum of five (5) years of substantial experience in the relevant field or industry.

Ethics & Discipline Committee. Candidates aspiring to join the Ethics and Discipline Committee must have a minimum of seven (7) years of relevant experience in their field or industry.

Candidates may also be asked to provide examples of their leadership experiences and achievements.

The Nominating Committee conducts thorough reference checks to validate candidates' professional backgrounds and ethical standing. These checks ensure that candidates have maintained the highest standards of integrity throughout their careers.

Review of Contributions

The Nominating Committee assesses candidates' significant contributions to their respective fields and evaluates how these contributions align with the NBLC's strategic goals. The committee seeks candidates who have made notable impacts in their areas of expertise.

Waiver Procedures & Requirements

In exceptional cases, candidates who do not meet all specified requirements may request a waiver for specific requirements. The waiver request process includes the following steps:

Submission of Waiver Request

Candidates must submit a formal written request for a waiver, specifying which requirements they are seeking exemption from and providing a detailed explanation of their qualifications and contributions.

Waiver Review Committee

A specialized Waiver Review Committee, appointed by the Board, is responsible for reviewing waiver requests. This committee comprises experienced professionals who thoroughly assess the merits of each request.

Evidence Evaluation

The Waiver Review Committee evaluates the evidence presented by the candidate, including their accomplishments, leadership experience, and contributions to their field. The committee seeks to determine if the candidate's qualifications sufficiently compensate for the waived requirement.

Decision and Approval

The Waiver Review Committee makes recommendations to the Board based on the evidence presented. Approval of a waiver requires a unanimous vote of the Board. The Board carefully considers the committee's recommendations and ensures that waivers are granted only in the most exceptional cases.

Term Length

National Board Requirements

Board Members serve staggered terms of no less than three years, with the possibility of renewal for a second term.

Technical Advisory Group Requirements

Independent Appeals Committee

An independent Appeals Committee, appointed by the National Board and consisting of individuals who have not been involved in the initial decision, is responsible for reviewing the appeal.

Hearing

The Appeals Committee conducts a fair and impartial hearing, allowing both the appellant and the NBLC to present their cases, evidence, and arguments.

Decision

Following the hearing, the Appeals Committee deliberates and issues a final decision. The decision may uphold the initial decision, reverse it, or recommend a modified course of action.

Board Review

If the appellant or the NBLC is dissatisfied with the Appeals Committee's decision, they may request a Board review. The Board reviews the case and issues a final, binding decision.
